Terms of Service

Last updated: October 13, 2026

These Terms of Service ("Terms") are an agreement between you and Pixametrics LLC, a Washington limited liability company that operates RapidXM ("RapidXM", "we", "us"). They govern your use of:

  • The Site: www.rapidxm.com, including the walkthrough form, the free site audit and the support chat; and

  • The Console: the RapidXM application at console.rapidxm.com and any staging environment, the per-project MCP endpoints, APIs and API keys, the built-in assistant, and every feature reached through them (page editing, preview and deploy, forms and the inbox, the support chat and knowledge base, product catalogues, consent and tag management, and conversion tracking and reporting).

Together these are the "Services". If you have signed an order form, proposal or statement of work with us ("Order"), the Order forms part of these Terms and prevails where the two conflict.

By using the Services, or by accepting an Order, you agree to these Terms. If you use the Services on behalf of a business, you confirm that you can bind that business, and "you" means the business.

1. Accounts and access

  • The Console is for business use. Each person needs their own login, and you must be at least 18 to hold one. Sign-in is handled through our single sign-on provider.

  • You control who in your organisation can edit and who can publish. You are responsible for everything done through your accounts, your MCP connections and any API keys you create, including actions taken by an AI agent you connect.

  • Keep credentials secure and tell us promptly at [email protected] if you think an account or key has been compromised.

2. Fees and billing

  • Build fees (for example a site redesign or content migration) are set out in your Order and are due as stated there.

  • Subscriptions are billed through Stripe, monthly in advance, or annually in advance if you choose annual prepay. They renew automatically until cancelled. You authorise us to charge the payment method on file at each renewal.

  • Usage. Plans include an allowance of assistant conversations. We will show you your usage and tell you before you reach the allowance. Additional capacity is charged at the rates in your Order or shown in the Console.

  • Price changes take effect at your next renewal, with at least 30 days' notice. Founding or promotional rates last for the period stated in your Order.

  • Fees exclude taxes, which you are responsible for (other than taxes on our income).

  • If an invoice is more than 15 days overdue we may, after notice, suspend Console features until it is paid. Suspension does not take your deployed site offline (see section 4).

  • Except where the law or your Order says otherwise, fees already paid are non-refundable, including for partial months.

3. Your content

"Your Content" means everything you or your users put into the Services or that the Services collect for you: page copy, images, brand assets, product listings, knowledge base entries, settings, form submissions, support chat transcripts, questions asked by AI agents, conversion events, and data from the accounts you connect.

  • You own Your Content. You give us a limited licence to host, copy, process, transmit and display it only as needed to provide, secure and support the Services for you.

  • You are responsible for having the rights to Your Content and for its accuracy and legality, including any claims, prices, or medical, legal or financial statements on your site.

  • We do not sell Your Content, and we do not use it to train AI models.

4. Your site and where it is hosted

  • Sites built in RapidXM are compiled to static files and deployed to Cloudflare under your domain. They are deployed either into a Cloudflare account in your name, or into an account we manage for you, as set out in your Order or the Console. Form submissions are stored in a database in that same account.

  • Where your site is in your own account, you keep control of that account, your DNS and your registrar. Where it is in an account we manage, we will transfer the site and its form data to an account in your name on request, including when the Services end.

  • We own the RapidXM platform, the Console, our component library, themes, playbooks and other tooling. When a site is deployed for you, we grant you a perpetual, non-exclusive, royalty-free licence to keep using, hosting and modifying the compiled site (its HTML, CSS, JavaScript and assets) for your own business, including after your subscription ends.

  • That licence covers the compiled site. It does not cover the Console, the assistant, the support chat, or other features that run on our infrastructure. Those stop when your subscription ends.

5. AI features

  • You approve before anything goes live. The assistant drafts changes. Nothing is deployed to your public site until someone with publish rights approves it. Review drafts carefully. AI output can be wrong, incomplete or inappropriate, and you are responsible for what you publish.

  • Support chat. The chat answers your visitors from your knowledge base and published content. You are responsible for keeping that knowledge accurate and for the answers it gives on your behalf. Do not configure it to give advice that requires a licensed professional.

  • Your own API key. You can run the assistant or the support chat on your own AI provider key. If you do, your use is also governed by that provider's terms, and charges for that key are between you and the provider.

  • Connected agents. If you connect a third-party AI tool to your project's MCP endpoint, that tool acts with the permissions you grant it. We are not responsible for the third-party tool, and actions it takes through your connection are treated as yours.

6. Data about your visitors and customers

The Services collect personal data from your site's visitors and customers, such as form submissions, support chat conversations, questions AI agents ask about your business, and conversion events. For that data, you are the controller (or "business") and we are your processor (or "service provider"). We process it only to provide the Services to you, on your instructions, and as described in our Privacy Policy.

  • You are responsible for your own site's privacy policy, for configuring the consent banner to suit where your visitors are, and for having a lawful basis for the data you collect and the messages you send, including follow-ups to leads.

  • Our consent, cookie and opt-out tools are designed to help you comply with laws such as the GDPR and the CCPA/CPRA. Configuring them does not by itself guarantee compliance.

  • Do not use the Services to collect payment card numbers, government ID numbers, or health information regulated under HIPAA unless we have agreed in writing, including any required business associate agreement.

  • A data processing agreement is available on request.

7. Integrations

The Services can connect to third-party products you choose. Examples include Cloudflare, Stripe and Shopify product catalogues, Google Analytics and Google Ads tags, AI providers, and webhooks into your CRM or field-service software. Your use of those products is governed by their own terms. We do not control them, and changes they make (including to their APIs) may change or interrupt an integration. We will make reasonable efforts to keep integrations working and to tell you about changes that affect you. Data we send to a connected product on your instructions is then handled under that product's terms.

8. Acceptable use

You must not use the Services to:

  • break the law or infringe anyone's rights, including intellectual property and privacy rights;

  • publish content that is fraudulent, deceptive, defamatory, hateful or sexually exploitative, or that impersonates another person or business;

  • send spam, or text or email people without the consent the law requires;

  • distribute malware, phishing pages or look-alike login pages;

  • probe, scan, overload or interfere with the Services or other customers' projects, or get around usage limits, rate limits, access controls or the spam protection on forms and chat;

  • scrape the Services or use them to build a competing product; or

  • resell the Services except under an agency or wholesale arrangement we have agreed.

We may remove content or suspend access that breaks this section. We will tell you why unless the law or a security risk prevents it.

9. The Site and the free audit

If you request a walkthrough, you authorise us to run an automated audit of the public website you give us (for example checking speed, broken links and missing metadata). Only submit a site you own or are authorised to have audited. Nothing is installed on your site. Audit results are informational and are not a guarantee of search rankings or performance. Requesting an audit creates no obligation.

10. Availability and support

We aim to keep the Console available and to fix problems promptly. Unless your Order includes a service level, the Services are provided without an uptime commitment. Planned maintenance will be scheduled to minimise disruption. Your published pages are static files served by Cloudflare, so a Console outage does not normally take your site offline. Forms run in the same Cloudflare account as your site. The support chat and anything else that runs live depends on our infrastructure, on Cloudflare, and on the AI provider in use.

11. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for this relationship, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).

12. Term and termination

  • You can cancel a subscription at any time in the Console or by emailing us. Cancellation takes effect at the end of the current billing period or prepaid term.

  • We can terminate or suspend the Services if you materially breach these Terms and do not fix the breach within 15 days of notice. We can act immediately for serious breaches of section 8, or for non-payment after notice.

  • When the Services end: your deployed site keeps serving. If it is hosted in an account we manage, we will transfer it to you as described in section 4. Console access, the assistant, the support chat, MCP endpoints and integrations stop. For 30 days afterwards you can ask us to export Your Content (pages, knowledge base, chat transcripts and conversion data). After that we delete it from our systems. Copies in backups are deleted within a further 90 days, except where the law requires us to keep them.

  • Sections 3, 4 (the site licence and transfer), 11, 13–16 and any unpaid fees survive termination.

13. Disclaimers

Except as expressly stated in these Terms or an Order, the Services are provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee search rankings, traffic, leads, bookings or revenue, or that AI output will be accurate.

14. Limitation of liability

To the extent the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and

  • each party's total liability arising out of these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

These limits do not apply to your payment obligations, to either party's indemnity obligations, or to liability for fraud or wilful misconduct.

15. Indemnity

You will defend and indemnify us against third-party claims arising from Your Content, your site's content, your breach of section 8, or your collection and use of visitor data. We will defend and indemnify you against third-party claims that the RapidXM platform itself (excluding Your Content and third-party products) infringes their intellectual property. The indemnified party must notify the other promptly and allow it to control the defence.

16. General

  • Governing law. These Terms are governed by the laws of the State of Washington, excluding its conflict-of-laws rules. The state and federal courts located in Washington have exclusive jurisdiction, except that either party may seek urgent injunctive relief anywhere.

  • Changes. We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Console. Continuing to use the Services after the change takes effect means you accept it.

  • Other terms. You may not assign these Terms without our consent, except to a successor of your business. We may use subcontractors and remain responsible for them. If any part is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. These Terms and any Order are the entire agreement on this subject.
